The wealthunion.io website and related investor portals, including portal.wealthunion.io and app.wealthunion.io (collectively, the "Site"), are operated by Cryptx Capital LLC on behalf of WealthUnion Ventures LLC, a Delaware limited liability company, together with its series limited liability companies, affiliates, and subsidiaries ("WealthUnion," "we," "our," or "us"). These Terms of Use (these "Terms") govern your access to and use of the Site and any products, services, content, and investment-related materials offered through the Site (the "Services"). We reserve the right to update and modify these Terms at any time without prior notice. Any modifications will be effective immediately upon posting of the updated Terms on the Site. Your continued use of the Site and/or the Services following the posting of any changes constitutes your acceptance of such changes.

PLEASE READ THESE TERMS CAREFULLY. By visiting, accessing, or using any part of the Site and/or utilizing any Service, you agree to be bound by, and shall be subject to, these Terms. If you do not agree to all of these Terms, you may not access the Site or use any Services.

1. Services

The Site provides information about WealthUnion's investment approach, portfolio activity, team members, and selected investment opportunities. Certain portions of the Site and investor portals allow registered users to review deal-specific information, track portfolio investments, receive updates, and access investment-related materials.

Acceptance of new Members (defined below) is at our sole discretion and subject to termination at any time.

By accessing any of these Services, you represent and warrant that (i) you are an individual at least 18 years old; (ii) you are of legal age to form a binding contract; (iii) all registration information you submit is accurate and truthful, and you will maintain the accuracy of such information; and (iv) you are legally permitted to use and access the Services and take full responsibility for your access, selection, and use of the Services.

Certain portions of the Services are available only to "Accredited Investors" as that term is defined by the U.S. Securities and Exchange Commission under Rule 501 of Regulation D.

2. Accounts and Membership

To access certain features of the Services, you may be required to submit an application and/or become a registered member ("Member"). To become a Member, you must provide personal information and, where applicable, verification of your status as an Accredited Investor. Even if you are referred by a current Member, you may still be required to provide personal information and accredited investor verification, and a referral does not guarantee acceptance as a Member.

We may confirm your accredited investor status through various methods, including but not limited to verification by a third-party provider, or written confirmation from a qualified third party such as an accountant, attorney, or registered investment adviser. The method of verification will be at our sole discretion.

Once accepted and/or asked to create an account ("Account"), you agree to (a) provide true, accurate, current, and complete information about yourself as prompted by the registration process ("Account Data") and (b) maintain and promptly update the Account Data to keep it true, accurate, current, and complete.

You are responsible for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security. You may not share your Account credentials with anyone or create an Account on behalf of someone other than yourself or the entity with which you are associated. If you provide information that is untrue, inaccurate, or incomplete, or if WealthUnion has reasonable grounds to suspect the same, WealthUnion has the right to suspend or terminate your Account and associated membership and refuse any and all current or future use of the Services.

WealthUnion reserves the right to remove or reclaim any usernames at any time and for any reason. You agree not to create an Account or use the Services if you have been previously removed or banned by us.

3. Use License

WealthUnion grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and make personal and non-commercial use of the Site and the Services, and any software underlying such, solely to use the Site or the Services as provided by WealthUnion in accordance with these Terms. This license does not include any resale or commercial use of the Site, the Services, or any content associated with such.

You shall not copy, modify, rent, lease, loan, sell, assign, distribute, reverse engineer, grant a security interest in, or otherwise transfer any right to the technology or software underlying the Site or Services. You agree not to use modified versions of any software underlying the Services, including for the purpose of obtaining unauthorized access to the Site. You may not use the Site or any of the Services for any illegal purpose.

This license shall automatically terminate if you violate any of these Terms and may be terminated by WealthUnion at any time without notice. Upon termination, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

4. Prohibited Uses

You shall not use the Site or the Services in any way that (i) infringes or violates the intellectual property rights, proprietary rights, or rights of publicity or privacy of any third party; (ii) violates any law, statute, rule, ordinance, or regulation; (iii) is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable; (iv) misrepresents the source or identity of any content; (v) involves commercial activities and/or sales without our prior written consent, such as contests, sweepstakes, barter, advertising, or pyramid schemes; (vi) uploads, installs, or embeds malware, viruses, worms, Trojan horses, or other harmful content or code, or violates the security of any computer network; (vii) impersonates any person or entity, including any employee or representative of WealthUnion; (viii) engages in or furthers any fraudulent, abusive, or otherwise illegal activity; (ix) sends spam or unsolicited communications on the Site or to other users; (x) uses any automated software, devices, or processes to "crawl" or "spider" any page or content of the Site or Services; (xi) decompiles, reverse engineers, or otherwise attempts to obtain the source code of the Site or Services; or (xii) removes, obscures, or alters any notices or links on the Site or Services.

Any violation of the above may be grounds for immediate termination of your Account, membership, and/or right to access the Site or Services. WealthUnion reserves the right to take appropriate legal action, including referral to law enforcement, for any unauthorized use of the Site or Services.

5. Content and Ownership

(a) Ownership of Site Content

All right, title, and interest in and to all intellectual property rights in the Site and Services, including all related content, are and shall remain with WealthUnion or its licensors. You acquire only the right to use and access the Site and Services pursuant to these Terms, and you do not acquire any ownership rights or title in or to the Site or Services. "WealthUnion," the WealthUnion logo, and all WealthUnion product and service names are proprietary to WealthUnion or its affiliates. No right or license to use any such names or marks is granted under these Terms.

(b) Your Content

We do not claim ownership of content you upload, post, or submit through the Site or Services ("Your Content"). However, by uploading, posting, or publishing Your Content, you grant WealthUnion a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive right and license to use, host, display, publish, license, distribute, reproduce, modify, and adapt Your Content for the purposes of operating, providing, developing, and improving the Site and Services. You represent that you own or have the necessary rights to grant this license.

You are responsible for all of Your Content. Any content posted or uploaded by you may not contain nudity, violence, sexually explicit, or offensive subject matter as determined by WealthUnion in its sole discretion. You may not post a photograph of another person without that person's permission.

(c) Feedback

You grant WealthUnion an exclusive, transferable, sublicensable, worldwide, royalty-free, irrevocable license to use or incorporate into the Site or Services any suggestions, ideas, enhancement requests, feedback, recommendations, or other information provided by you relating to the Site or the Services.

(d) Content Screening

We have no obligation to pre-screen content, but we reserve the right to pre-screen, refuse, or remove any content in our sole discretion. You acknowledge and agree that you have no expectation of privacy concerning the transmission of Your Content through the Site or Services.

6. Confidentiality

In using the Services, you may have access to confidential information of WealthUnion and its affiliates, including but not limited to business and financial information, business plans, operating agreements, investment memorandums, deal terms, portfolio company information, investor lists, and other proprietary materials (collectively, "Confidential Information").

You agree to maintain and safeguard the privacy and security of all Confidential Information. Without limiting the foregoing, you agree to: (i) use the Confidential Information only for the purpose for which it was made available to you through the Services (the "Permitted Purpose") and for no other purpose; (ii) not access, use, or disclose any Confidential Information that you have no legitimate authorization to access, use, or disclose; (iii) not disclose Confidential Information to any third party except to your attorneys and financial advisors who need to know such information to assist you in carrying out the Permitted Purpose and who are bound by written confidentiality obligations no less restrictive than those set forth herein; (iv) restrict physical and system access to equipment that contains or gives access to Confidential Information; and (v) use Confidential Information in compliance with all applicable laws.

You shall immediately notify and cooperate fully with WealthUnion if you discover or suspect any unauthorized use of or access to the Services and/or Confidential Information. You shall be responsible for any breach by your representatives of the obligations set forth in this section.

Notwithstanding the foregoing, you may disclose Confidential Information as required by applicable law or by proper legal or governmental authority, provided that you give WealthUnion prompt notice of any such demand and reasonably cooperate with WealthUnion in any effort to seek a protective order or otherwise contest such required disclosure.

All obligations relating to Confidential Information under these Terms will survive termination of these Terms and termination of your access rights.

7. Third-Party Services and Transactions

We use third-party providers and technology partners to help deliver the Services. The Site may contain links to third-party websites that are not owned or controlled by WealthUnion. We assume no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites, and we do not censor or edit the content of third-party sites.

If you decide to make an investment in a company or opportunity presented through the Services, and your allocation request is accepted, the transaction may be completed through a third-party platform or directly via subscription agreement. You will receive instructions by email regarding any applicable transaction process, including signing documents, confirming your accredited investor status, and providing payment via ACH or wire. Neither the Site nor WealthUnion collects payment card information through the Site.

Fee information for each investment will be detailed in the applicable offering documents and/or by the third-party platform, if any. Our standard deal fees are subject to change from time to time and may include a management fee, carried interest, and any applicable third-party platform fees. We reserve the right to revise our fee structure at any time without notice or liability to you.

By using the Site and Services, you expressly release WealthUnion from any and all liability arising from your use of any third-party website or service. We strongly encourage you to review the terms, conditions, and privacy policies of any third-party website or service that you access.

8. Consent to Electronic Communications

You specifically agree to receive and/or obtain communications from WealthUnion and its affiliates in electronic form rather than in paper form. "Communications" includes, but is not limited to, documents, agreements, terms, statements, data, records, and any other communications regarding your relationship with WealthUnion and/or its affiliates, including any notices, summaries, forms, disclosures, or documents required by law, rule, or regulation.

You accept Communications provided in electronic form as reasonable and proper notice for the purpose of all applicable laws, rules, and regulations, and agree that delivery of such Communications in electronic form fully satisfies any requirement that such Communications be provided to you in writing or in a form that you may keep.

If you have the legal right under any applicable law or regulation to receive a document in paper form, you may withdraw your consent to receiving that document electronically by contacting WealthUnion at [email protected]. A withdrawal of your consent will be effective only after we have had reasonable time to process your request.

Your use of the Site and/or the Services constitutes your acceptance and agreement to be bound by our Privacy Policy.

10. Securities Disclaimer

WealthUnion is not registered as an investment adviser, broker-dealer, or funding portal with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, or any state securities regulatory authority.

No communication by WealthUnion, whether through the Site or any other medium, should be construed or is intended to be a recommendation to purchase, sell, or hold any security, or otherwise to be accounting, compliance, financial, investment, legal, regulatory, or tax advice. Nothing on the Site is intended as an offer to purchase or sell securities or a solicitation of any securities transaction.

Investing in private placements and securities described on the Site poses significant risks, including but not limited to the risk of losing some or all of the money you invest. Private placements are illiquid, involve long-term commitments, and are suitable only for accredited investors who understand and are willing and able to accept the high risks associated with such investments, including limited liquidity and the possibility of total loss of invested capital.

11. Indemnification

You shall indemnify, defend, and hold harmless WealthUnion, Cryptx Capital LLC, and each of their respective affiliates, officers, directors, managers, employees, contractors, agents, suppliers, and representatives against any and all losses, damages, claims, actions, proceedings, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use or misuse of the Site, Services, or content; (ii) your actual or alleged violation of these Terms; (iii) your infringement or violation of any intellectual property, proprietary, or privacy rights of any third party; (iv) injury to person or property arising from your acts of negligence, bad faith, willful misconduct, or reckless disregard relating to these Terms or the Services; or (v) your actual or alleged violation of applicable law in connection with your use of the Services.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defenses.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND AT YOUR SOLE RISK. To the maximum extent permitted by law, WealthUnion expressly disclaims all warranties of any kind, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement.

Without limitation, neither WealthUnion nor its managers, employees, agents, suppliers, partners, or content providers makes any warranty that the Services will meet your requirements, that use of the Services will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Services will be accurate or reliable, that defects will be corrected, or that the Site or Services will be virus-free.

Any content or materials downloaded or otherwise obtained through the use of the Site and Services is done at your sole risk. No advice or information obtained through the Site or Services will create any warranty not expressly provided for in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, and accordingly, some of the above limitations may not apply to you.

By using the Services, we have no special relationship or fiduciary duty with you. You acknowledge that we have no control over, and no duty to take any action regarding: which users gain access to the Site; what content you access via the Site; what effects the content may have on you; how you may interpret or use the content; or what actions you may take as a result of having been exposed to the content.

ELECTRONIC COMMUNICATIONS PRIVACY ACT NOTICE (18 U.S.C. §2701–2711): WE MAKE NO GUARANTY OF CONFIDENTIALITY OR PRIVACY OF ANY COMMUNICATION OR INFORMATION TRANSMITTED ON THE SITE OR ANY WEBSITE LINKED TO THE SITE. WealthUnion will not be liable for the privacy of email addresses, registration and identification information, disk space, communications, confidential or trade-secret information, or any other content stored on WealthUnion's equipment, transmitted over networks accessed by the Site, or otherwise connected with your use of the Services.

13. Limitation of Liability

To the fullest extent under applicable law, the total aggregate liability of WealthUnion, Cryptx Capital LLC, and their respective affiliates, officers, directors, employees, agents, suppliers, and licensors, and your exclusive remedy under or related to these Terms and the Services, is limited to direct money damages not exceeding One Hundred Dollars (US $100.00). The existence of multiple claims does not enlarge this limit.

To the fullest extent permitted by applicable law, in no event will WealthUnion or Cryptx Capital LLC be liable for any incidental, consequential, indirect, special, punitive, or exemplary damages, lost profits or revenue, or lost or damaged data, whether arising in contract, tort (including negligence), or otherwise, even if we are aware of the possibility of such loss or damages.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, the liability of WealthUnion and Cryptx Capital LLC shall be limited to the greatest extent permitted by law.

14. Term, Termination, and Changes

These Terms remain in effect until the earlier of (i) the date on which you cease use of the Site or Services; or (ii) the date that we cease provision of such. We may terminate or suspend your Account or access to all or any part of the Site and/or Services at any time, for any reason, without warning, and in our sole discretion. We will not be liable to you whatsoever if we terminate or suspend your Account or other access to the Site or Services.

We also reserve the right, in our sole discretion and without prior notice, to change, modify, discontinue, terminate, or suspend all or part of the Site or any Services for any reason and without notice to you.

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in New Castle County, Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

YOU AND WEALTHUNION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. You hereby waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the United States, without regard to conflict of law provisions thereof. To the extent any legal proceedings arise outside the scope of Section 15, such proceedings shall be brought in the state or federal courts located in New Castle County, Delaware, and you consent to the personal and exclusive jurisdiction of such courts.

17. General Provisions

No Agency; Assignment

No agency, partnership, joint venture, or employment is created as a result of these Terms, and you do not have any authority of any kind to bind WealthUnion in any respect. You shall not assign these Terms, or any of the rights or obligations hereunder, without the prior written consent of WealthUnion. Assignments made in violation of this provision will be null and void. These Terms bind and inure to the benefit of the parties and their respective permitted successors and permitted assigns.

Entire Agreement; Severability

These Terms, together with the Privacy Policy and Legal Disclaimer incorporated herein, set forth the entire and exclusive understanding and agreement between you and WealthUnion concerning your use of the Site and Services and supersede all prior or contemporaneous communications and proposals related to the subject matter of these Terms. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, severed from these Terms. The remaining provisions shall not be affected.

Waiver

No waiver by WealthUnion of any right or provision under these Terms shall constitute a subsequent or continuing waiver of such right or provision or any other rights or provisions. Failure to act or delay in acting by WealthUnion shall not constitute a waiver of any right or remedy.

Survival

Any other provision that by its nature is designed to survive termination or expiration also will survive as such.
